Supporting Capital Formation Through the JOBS Act

One of the most meaningful chapters in our history was our involvement in advocacy efforts surrounding the Jumpstart Our Business Startups (JOBS) Act.

Prior to its passage in 2012, many startups and small businesses struggled to raise early-stage capital because securities laws limited how entrepreneurs could communicate with potential investors.

Ritch and Associates participated in industry advocacy efforts that supported reforms aimed at expanding access to capital for emerging businesses. Alongside many entrepreneurs, policymakers, trade organizations, and other stakeholders, we worked to encourage legislation that would modernize outdated regulations and create new opportunities for capital formation.

The JOBS Act ultimately introduced significant changes to U.S. securities law, including provisions that paved the way for what is now known as equity crowdfunding.

Today, thousands of companies have used these regulations to raise capital from investors who previously would have had little or no opportunity to participate in private startup investing.

Why That Matters

The JOBS Act fundamentally changed how entrepreneurs can access capital.

Instead of relying exclusively on banks, venture capital firms, or wealthy angel investors, founders gained additional avenues to build communities of supporters who could also become investors.

This shift has helped:
